Terms of Service

These terms govern access to and use of DiveHQ, a software platform for dive shop operators, provided by Tactiqal LLC (“Tactiqal,” “we,” “us”). When you create an account or use DiveHQ, you and your dive shop and its authorized staff (“you”) agree to these terms.
1. What DiveHQ is
DiveHQ is a subscription platform that helps dive shop operators run their business: diver profiles, digital waivers, trip and booking management, deposit holds, and payment processing. DiveHQ is a tool for shops. It is not a booking marketplace, a certifying agency, or a party to any trip, rental, or service a shop sells to its own customers.
2. Accounts and eligibility
You need authorization to act on behalf of your dive shop before you create an account. You’re responsible for the accuracy of the information you enter, for keeping your login credentials secure, and for all activity that happens under your account.
3. Subscriptions and billing
- We bill DiveHQ on a recurring monthly (or annual, where offered) subscription basis.
- Stripe, our payment processor, processes subscription charges.
- We bill fees in advance for each billing period; they’re non-refundable except as described in our Refund Policy.
- We may change subscription pricing with reasonable advance notice. If you keep using DiveHQ after a price change takes effect, that means you accept the new price.
4. Deposits and payments processed on a shop’s behalf
A core part of DiveHQ places and releases deposit holds and processes payments between a shop and its divers, using Stripe as the underlying payment processor. In these transactions, the shop is the merchant of record. DiveHQ facilitates the transaction as the shop’s software provider, not as the seller. Disputes about a specific charge, deposit, refund, or rental sit between the diver and the shop, governed by that shop’s own policies, not by these terms.
5. Acceptable use
You agree not to:
- Use DiveHQ for any unlawful purpose or in violation of any applicable regulation.
- Attempt to access another shop’s data, account, or tenant.
- Interfere with or disrupt the platform’s security or availability.
- Resell or white-label DiveHQ without our written agreement.
6. Data and diver information
As between you and Tactiqal, you own the diver and booking data you enter into DiveHQ. We process that data to provide the service, as our Privacy Policy describes. You’re responsible for having the right to collect and store that data, including diver consent for medical questionnaires and waivers, under the laws that apply to your business.
7. Availability and changes
We work to keep DiveHQ available and reliable, but we don’t guarantee uninterrupted access. We may update, modify, or discontinue features over time, and we’ll give reasonable notice before any change that materially reduces core functionality you rely on.
8. Cancellation and termination
You can cancel your subscription at any time; see our Refund Policy for how cancellation timing affects billing. We may suspend or terminate an account that violates these terms, engages in fraudulent activity, or fails to pay outstanding fees, with notice where practical.
9. Disclaimers
We provide DiveHQ “as is.” We don’t warrant that the platform will run error-free or uninterrupted. DiveHQ is a business-operations tool. It does not verify diver certifications, medical fitness, or dive safety, and it does not substitute for a shop’s own safety practices and professional judgment.
10. Limitation of liability
To the fullest extent the law allows, Tactiqal LLC carries no liability for indirect, incidental, or consequential damages arising from your use of DiveHQ. Our total liability for any claim relating to DiveHQ stays limited to the amount you paid us in the twelve months before the claim arose.
11. Governing law
The laws of Puerto Rico and applicable United States federal law govern these terms, without regard to conflict-of-law principles.
12. Changes to these terms
We may update these terms as DiveHQ evolves. We update the date at the top of this page when we do. If you keep using DiveHQ after a change takes effect, that means you accept the updated terms.
